In a significant strategic move, the global innovator dsm-firmenich has entered into a definitive agreement to sell its Animal Nutrition & Health (ANH) business unit. The buyer is CVC Capital Partners, a leading global private equity firm. The transaction places an enterprise value on the ANH division of approximately €2.2 billion.
The deal, announced from the company's operational hubs in Switzerland and the Netherlands, includes a substantial performance-linked component. Of the total valuation, up to €0.5 billion is structured as an earnout, contingent on the future financial success of the business under its new ownership.
This divestment marks a pivotal step for dsm-firmenich as it continues to refine its corporate portfolio. The company has indicated a clear strategic intent to sharpen its focus on its core markets in nutrition, health, and beauty. By parting with the ANH unit, leadership aims to streamline operations and allocate resources toward areas with the strongest growth synergies.
For CVC Capital Partners, the acquisition represents a major investment in the vital and expanding sector of animal health and nutrition. The firm is poised to take stewardship of a well-established business with a global footprint. The transaction is subject to standard regulatory approvals and customary closing conditions, with both parties working toward a seamless transition for the business and its employees.
